Mid-Level Venture Capital Associate

We represent a diverse group of interesting clients, which include private equity firms, founders, startups, venture capital investors, family offices and public companies (among others), in sophisticated and complex legal matters and transactions.
We are seeking a talented and energetic attorney with at least three (3) years of experience working as legal counsel to venture capital firms, startups, and investors to join our Venture Capital and Founders practice. We represent clients in venture capital financing transactions, restructurings, equity structuring and we serve as general corporate counsel for our venture-backed company clients, among other matters. The ideal candidate has experience with start-ups and emerging growth companies, seed and venture capital financings, growth and private equity and/or M&A. Our firm will be a good home for an attorney who is solution-oriented, entrepreneurial, highly motivated and is excited about joining a growing practice group and working with clients in the start-up and venture capital ecosystem.
We are headquartered in Chicago. The head of the Venture Capital and Founders practice is based in New York and the other Venture Capital and Founders partner is based in the Washington D.C. metropolitan area. We have a strong preference for a New York-based attorney, but this hire will have the option of working fully remotely.
Requirements
- 3+ years of relevant experience
- Experience with general corporate matters required (corporate and entity organizations, reorganizations, mergers, contract drafting, and negotiations experience)
- Experience with representing investors and companies in NVCA style venture capital financings
- Experience with mergers and acquisitions matters is a plus
- Proactive problem-solver with meticulous attention to detail
- Strong collaborator and communicator with good analytical, writing and communication skills
- Experience communicating directly with clients
- A desire to work in a fast-paced, collaborative team environment that is on a growth trajectory
- Active J.D. license in New York, Illinois or another state

Compensation: Base salary of $225,000-$300,000, depending on experience and hours commitment, with competitive bonuses paid annually
