Junior Transactional Associate

Summary
We are seeking a talented and energetic attorney with 1-3 years of experience working as legal counsel for transactional matters, including corporate matters, mergers and acquisitions (M&A) and venture capital (private investment funds a plus).  We are looking for someone who is a self-starter, has experience handling a variety of matters at any given time, and will enjoy working in an entrepreneurial environment. Our firm will be a good home for an attorney who is highly motivated and wants to grow and learn.

Qualifications

  • 1-3 years of relevant broad-based transactional experience
  • Experience with general corporate matters required (i.e., corporation and entity organizations, board and shareholder resolutions, stock and equity maintenance, contract drafting and negotiations)
  • Experience with mergers and acquisitions matters required (i.e., due diligence process, closing process, experience with key principal and ancillary agreement terms)
  • Experience with representing investors and companies in NVCA style venture capital financings required
  • Experience with private investment funds a plus
  • Proactive problem-solver with meticulous attention to detail
  • Strong collaborator and communicator with good analytical, writing and communication skills
  • Experience communicating directly with clients
  • A desire to work in a fast-paced, collaborative team environment that is on a growth trajectory
  • Active J.D. license in Illinois or another state

    Compensation: Base salary of $165,000-$230,000, depending on experience and hours commitment, with competitive bonuses paid annually
