We represent a diverse group of interesting clients, which include private equity firms, founders, startups, venture capital investors, family offices and public companies (among others), in sophisticated and complex legal matters and transactions.

We are seeking a talented and energetic attorney with at least four (4) years of experience working as legal counsel to asset managers, private equity firms, hedge, venture capital funds and other investment entities.  We advise on the formation, structuring and regulatory compliance of private investment funds and other related investment activities. Our firm will be a good home for an attorney who is solution-oriented, entrepreneurial, highly motivated and is excited about joining a growing practice group and working with clients.

Requirements

• 4-6 years of relevant experience.
• Experience focused on private funds, including private equity, venture, real estate, fund-of-funds and secondary funds.
• Experience drafting, reviewing and negotiating fund documents and side letters.
• Experience negotiating upper tier documentation and carry grants a plus.
• Thorough understanding of the rules and regulations for private funds and their sponsors arising under the Investment Advisers Act of 1940, the Securities Act of 1933 and the Investment Company Act of 1940.
• Proactive problem-solver with meticulous attention to detail.
• Strong collaborator and communicator with good analytical, writing and communication skills.
• Experience communicating effectively directly with clients.
• A desire to work in a fast-paced, collaborative team environment that is on a growth trajectory
• Active J.D. license in Illinois or another state. Must have license in state in which you practice.
