Paralegal Manager, Corporate
As the Paralegal Manager, you will lead our corporate/transactional paralegal team, playing a crucial role in shaping team dynamics, ensuring compliance, and enhancing operational efficiency. The ideal candidate will provide:
- Leadership and Development: Mentor and develop a team of paralegals, enriching their professional journey and aligning their skills with the firm’s strategic objectives.
- Operational Excellence: Oversee the day-to-day operations, ensuring seamless support across corporate transactional practice groups and maximizing team productivity.
- Strategic Collaboration: Work closely with attorneys and other stakeholders to ensure the delivery of efficient and high-quality client-centric legal services.
Qualifications
- Extensive knowledge of corporate/transactional paralegal functions, including legal research, document preparation, and case management.
- Bachelor’s Degree preferred.
- Paralegal certification preferred.
- Prior experience working in mid-large sized law firms is preferred.
- Strong leadership skills, legal project management, team collaboration and the ability to make informed decisions and work independently in a fast-paced environment with multiple deadlines.
- Outstanding communication skills, both verbal and written. The role demands a strategic, agile, and entrepreneurial approach to problem-solving, with a knack for being both nimble and resourceful under pressure.
- Excellent computer skills with proficiency in Microsoft Office applications (Word, Excel, Outlook) Adobe, and DocuSign. Experience with Document Management Systems (knowledge of Net Documents is a plus).
Responsibilities
- Project Management:
- Facilitate communication between paralegals and attorneys, ensuring clear understanding of client matter requirements and legal strategies.
- Oversee the maintenance of client matter documents and legal files, ensuring they are organized and accessible.
- Manage the paralegal team’s workload to ensure deadlines are met and work is distributed evenly.
- Document Drafting and Review
- Assist with investor subscription agreement and manage communications with investors.
- Assist with funds closings and transfer process for private investment fund sponsors from inception to closing.
- Oversee the preparation and distribution of closing sets to investors, attorneys and clients.
- Entity Formation and Regulatory Filings
- Oversee the formation of corporations, limited liability companies, and limited partnerships. Responsibilities include drafting formation documents, securing EINs, managing annual filings, and coordinating foreign registrations.
- Manage the preparation and submission of annual and periodic regulatory filings, including Form ADV, Form D, and Blue Sky Laws filings.
- Leadership and Team Management:
- Oversee the recruitment, hiring, and training of new paralegals, ensuring they meet the firm’s standards and requirements.
- Develop and implement policies and procedures for the paralegal department to improve efficiency and quality of work.
- Training and Mentorship:
- Monitor the performance of paralegals, providing feedback, and conducting regular performance evaluations.
- Implement continuing education and professional development opportunities for paralegals to keep skills sharp and up to date with legal advancements.
