Norly Jean-Charles is a Partner in the Corporate Group at Croke Fairchild Duarte & Beres. She advises public and private companies on a broad range of transactional matters, including mergers and acquisitions, securities transactions, corporate governance, and capital markets deals.
Norly represents clients across multiple industries in strategic transactions, including acquisitions, business combinations, securities offerings, and SPAC and de-SPAC transactions. She guides clients through all phases of a transaction, from due diligence and structuring through closing and post-closing matters.
She also counsels public companies on SEC reporting and disclosure obligations, Exchange Act compliance, and corporate governance matters, including the preparation and review of Forms 10-K, 10-Q, and 8-K and other securities filings.
Prior to joining Croke Fairchild Duarte & Beres, Norly practiced at several nationally recognized law firms where she advised public and private companies on mergers and acquisitions, securities offerings, SEC compliance, corporate governance, and other complex transactional matters.
Norly earned her J.D. from the University of Pennsylvania Law School and a Certificate in Management from The Wharton School. She is admitted to practice in New York and is fluent in Haitian Creole.
