Sidney Kerley is an attorney with Croke Fairchild Duarte & Beres. He advises public and private companies on SEC, Corporate Governance and Business Counseling, Mergers and Acquisitions and serves as outside general counsel on a wide range of complex transactions.

Prior to joining CFDB, Sidney served as Executive Vice President, Chief Legal Officer, and Corporate Secretary of IAA, Inc., a leading global marketplace connecting buyers and sellers of lightly damaged, used and salvage vehicles, parts cars, trucks, SUV’s, motorcycles, and heavy equipment. As the Chief Legal Officer, Sidney oversaw all legal matters of the company globally, primarily focusing on the company’s SEC compliance, its growth and market expansion through mergers and acquisitions, and board and corporate governance, the latter of which involved a significant degree of shareholder activism and engagement.

Over the course of his career at IAA, Sidney managed the company’s SEC compliance as a publicly traded company on the NASDAQ (2001 through 2005) and on the NYSE from 2019 through 2023. In the intervening years, he assisted the company in a go-private transaction (in 2005), a $1.5bn merger with ADESA, Inc. in 2007 under KAR Auction Services, Inc., a roll-up of the salvage vehicle auctions industry and expansion into international markets (quadrupling the company’s geographic footprint). Sidney was instrumental in IAA’s spinoff and IPO from KAR in 2019, and its sale of the company to Ritchie Bros. Auctioneers in a cash and stock transaction valued at approximately $7bn in March 2023.
